Terms of Service

Please read these Terms of Service ("Terms") carefully before using Givetplace ("the Service", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and complete. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Givetplace is a peer-to-peer gifting marketplace. Users can post wishes ("Givets") — items or experiences they would like to receive — and other users can choose to fund those wishes. Funding is processed through Stripe, and recipients receive payouts to their connected bank account via Stripe Connect. The platform also issues a virtual currency called Givet Credits, which can be earned and redeemed as described below.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Givet Credits
Givet Credits ("Credits") are a virtual currency used on the platform.
- Credits have no cash value and cannot be redeemed for cash or transferred between accounts.
- Credits can be earned by funding Givets (10 Credits per $1 funded), completing Stripe Connect onboarding, or through referrals.
- Credits can be purchased directly at $0.11 USD per Credit.
- Credits can be spent to fund Givets on the platform (1 Credit = $0.10 of funding value).
- We reserve the right to adjust Credit values, earning rates, and redemption rates with reasonable notice.
- Unused Credits are forfeited if your account is terminated for cause.
5. Referral Programme
You may share your referral code with others. When a new user creates an account and applies your code, both you and the referred user receive Credit rewards, subject to the reward amounts in effect at the time. Referral rewards may be revoked if we determine they were obtained fraudulently (e.g. self-referral, fake accounts). We reserve the right to modify or discontinue the referral programme at any time.
6. Payments and Fees
All monetary payments are processed by Stripe, Inc.and are subject to Stripe's Terms of Service and Privacy Policy. By making a payment, you agree to Stripe's terms.
- Givetplace charges a 10% application fee on the total gift price for each funded Givet.
- Recipients who have connected their bank account via Stripe Connect will receive payouts, typically within 7 business days of a Givet being funded, subject to Stripe's payout schedule.
- Prices are displayed in USD. You are responsible for any applicable currency conversion fees charged by your bank or card issuer.
- Givetplace is not responsible for Stripe service interruptions, payment failures, or delays outside our control.
7. Refund Policy
Because Givet funding is an intentional gift to another user, payments are generally non-refundable once a Givet has been fulfilled. If you believe a payment was made in error or was fraudulent, contact us at legal@givetplace.com within 7 days of the transaction. We will investigate and work with Stripe to resolve legitimate disputes. Direct credit card chargebacks initiated without contacting us first may result in account suspension.
Purchased Givet Credits are non-refundable once applied to your account, except where required by applicable law.
8. User Content and Conduct
By posting a Givet or any other content on the platform, you grant Givetplace a non-exclusive, royalty-free, worldwide licence to display and use that content solely to operate the Service.
You agree not to:
- Post fraudulent, misleading, or deceptive Givets.
- Post content that is illegal, harmful, abusive, harassing, defamatory, obscene, or that infringes third-party intellectual property rights.
- Use the platform for money laundering, fraud, or any other illegal financial activity.
- Create multiple accounts to abuse referral or reward programmes.
- Scrape, crawl, or systematically extract data from the platform.
- Attempt to gain unauthorised access to other accounts or platform infrastructure.
We reserve the right to remove any content and suspend or permanently terminate accounts that violate these rules, at our sole discretion and without prior notice.
9. Intellectual Property
The Givetplace name, logo, and all platform software, design, and text are the property of Givetplace and are protected by applicable intellectual property laws. You may not copy, reproduce, or redistribute any part of the Service without our prior written consent. You retain ownership of the original content you upload, subject to the licence granted in Section 8.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Givetplace and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.
13. Indemnification
You agree to indemnify and hold harmless Givetplace and its affiliates, officers, agents, and employees from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Dispute Resolution
Before filing any legal claim, you agree to contact us at legal@givetplace.com and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the courts specified in Section 15.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
16. Changes to Terms
We may update these Terms at any time. When we do, we will update the "Last updated" date and notify you via email or a notice on the platform for material changes. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms.
17. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, without notice or liability, if we determine you have violated these Terms. Upon termination, your right to use the Service ceases immediately and any unused Credits will be forfeited (except where required by law).
18. Digital Millennium Copyright Act (DMCA)
We respect intellectual property rights. If you believe that content on the platform infringes your copyright, please send a notice to legal@givetplace.com with:
- A description of the copyrighted work you claim has been infringed.
- A description of where the infringing content is located on the platform.
- Your contact information (name, address, email, phone).
- A statement that you have a good-faith belief that the use is not authorised.
- A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or authorised to act on their behalf.
- Your electronic or physical signature.
We will review valid DMCA notices and remove infringing content promptly. Repeat infringers may have their accounts terminated.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Givetplace regarding your use of the Service and supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written, between you and Givetplace.
20. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Givetplace to be effective.
21. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
